1. Purpose

The Receiving Party agrees to receive Confidential Information solely for the purpose of evaluating or contributing to the development of products, features, concepts, or services for Bug Beacon Ltd.

2. Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

  • Product designs, concepts, prototypes, specifications
  • Technical documentation, source code, schematics
  • Business strategies, marketing plans, pricing models
  • Any discussions, notes, or materials shared verbally, digitally, or physically

3. Obligations of Receiving Party

The Receiving Party shall:

  • Maintain confidentiality and not disclose any Confidential Information to third parties
  • Use Confidential Information only for the agreed purpose
  • Take reasonable steps to protect the confidentiality of the information

4. Intellectual Property Ownership

All inventions, designs, developments, or derivative works created by the Receiving Party that relate to or arise from the Confidential Information shall be the sole property of Bug Beacon Ltd. The Receiving Party agrees to:

  • Assign all rights, title, and interest in such IP to Bug Beacon Ltd
  • Execute any documents necessary to confirm such assignment

5. Work-for-Hire Clause

Any and all work, deliverables, inventions, designs, developments, software, documentation, or other materials created in connection with this Agreement shall be considered “work made for hire.”
To the extent any such work does not qualify as a work made for hire, the Receiving Party hereby irrevocably assigns to Bug Beacon Ltd all rights, title, and interest in and to such work, including all intellectual property rights therein.

6. Non-Compete Clause

For a period of 24 months following termination of this Agreement, the Receiving Party shall not:

  • Develop or assist in developing any product or service that competes with Bug Beacon Ltd
  • Engage with third parties to replicate or exploit the Confidential Information
  • Solicit Bug Beacon Ltd’s clients, partners, or vendors in a competitive context

7. Open Source Exclusion

Open source software, libraries, documentation, or other content governed by a publicly available license (e.g., MIT, GPL, Apache) shall remain subject to the terms of that license. Bug Beacon Ltd makes no claim of ownership over such content, and the Receiving Party agrees to comply with the applicable license terms.

8. Export Control

The Receiving Party acknowledges that certain Confidential Information may be subject to export control laws and regulations, including those of the United States and the United Kingdom. The Receiving Party agrees to comply with all applicable export laws and not to transfer, disclose, or use such information in violation of those laws.

9. Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in English, and the seat of arbitration shall be London, UK. Judgment on the award may be entered in any court having jurisdiction.

10. Digital Execution

This Agreement may be executed electronically and in counterparts. Electronic signatures shall be deemed valid and enforceable under applicable law in both the United Kingdom and the United States.

11. Term

This Agreement shall remain in effect for 5 years from the Effective Date or until terminated in writing by Bug Beacon Ltd. Obligations regarding Confidential Information, IP ownership, non-compete, and work-for-hire survive termination.

12. Remedies

Bug Beacon Ltd shall be entitled to injunctive relief and any other remedies available under law in the event of breach.

13. Governing Law

This Agreement shall be governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of London, unless resolved through arbitration as outlined above.
