1. Purpose

This Agreement governs the terms under which the Contributor provides intellectual, creative, or technical contributions to Bug Beacon Ltd, including but not limited to code, designs, documentation, prototypes, specifications, and inventions.

2. Scope of Contribution

“Contribution” means any work product, idea, invention, or deliverable created by the Contributor for or in collaboration with Bug Beacon Ltd, whether submitted directly or indirectly, and whether created independently or jointly.

3. Intellectual Property Assignment

All Contributions shall be considered “work made for hire” to the fullest extent permitted by law.
To the extent any Contribution does not qualify as work made for hire, the Contributor hereby irrevocably assigns to Bug Beacon Ltd all rights, title, and interest in and to such Contributions, including all intellectual property rights therein.

4. Moral Rights Waiver

The Contributor waives any and all moral rights or similar rights of attribution or integrity in the Contributions, to the extent permitted by law, and agrees not to assert such rights against Bug Beacon Ltd or its successors.

5. Open Source Exclusion

Any open source content included in a Contribution shall be clearly identified and governed by the applicable license accompanying that content. The Contributor agrees not to include any content that imposes copyleft obligations or restricts Bug Beacon Ltd’s commercial use without prior written approval.

6. Contributor Recognition Options

Bug Beacon Ltd values transparency and contributor choice. The Contributor may select one of the following recognition options:

  • Public Credit – Use my full name in product pages, documentation, or release notes
  • Alias or Pseudonym – Use the following alias: [Insert Alias]
  • Anonymous Contribution – No public attribution; keep my contribution confidential
  • Team Credit – List me as part of a group (e.g., “Bug Beacon Labs”)
  • Deferred Credit – Recognize me only after [Insert Milestone or Release]

The Contributor’s preference shall be documented in writing and may be updated at any time with mutual agreement.

7. Warranties

The Contributor represents and warrants that:

  • They are the sole author of the Contribution and have full rights to assign it
  • The Contribution does not infringe any third-party rights
  • No part of the Contribution is subject to undisclosed licensing obligations or restrictions

8. Confidentiality

The Contributor agrees to maintain the confidentiality of any non-public information received from Bug Beacon Ltd and to comply with the terms of any separate Non-Disclosure Agreement (NDA) executed between the parties.

9. Export Control

The Contributor acknowledges that Contributions may be subject to export control laws and agrees to comply with all applicable regulations in the UK, US, and any other relevant jurisdictions.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of England and Wales. Any disputes shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), with the seat of arbitration in London, UK.

11. Digital Execution

This Agreement may be executed electronically and in counterparts. Electronic signatures shall be deemed valid and enforceable under applicable law in both the United Kingdom and the United States.
